Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (and, if you represent a business, that business) and Devikit LLC (30 N Gould St, STE R, Sheridan, WY 82801, USA; EIN 30-1484571; "Devikit", "we", "us"), governing your use of Aigely at aigely.com and app.aigely.com (the "Service"). By accessing the Service or running a scan, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company.

1. Acceptance of these terms

By using the free Aigely Scan, creating an account, or subscribing to a paid plan, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

• "Service" means Aigely, including aigely.com, app.aigely.com, the free Aigely Scan, the panel, APIs, and related reports.
• "Account" means a registered organization on app.aigely.com and its associated members and projects.
• "Project" means a tracked domain/store within an account.
• "Plan" means a subscription tier (Starter, Shop, Business, Agency, or Enterprise) as described on aigely.com/pricing, which forms part of these Terms by reference.
• "Content" means the store URLs, catalog data, prompts, and other information you submit to or generate through the Service.
• "AI Providers" means third-party AI model and search-data providers used to generate the results the Service reports on (e.g. OpenAI, Google, Anthropic, and AI Overviews data providers).

3. The service

Aigely helps you check and track whether AI answer engines (such as ChatGPT, Gemini, Google AI Overviews, and Claude) mention your brand or store in response to shopping and brand-related prompts, and provides guidance ("GEO checks") on technical factors that affect that visibility, such as structured data, llms.txt, and AI crawler access. The Service does not control what any AI Provider outputs, and results reflect a point-in-time sample of non-deterministic AI systems - see Section 12.

4. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• Paid accounts are for businesses. See Section 6 on B2B-only subscriptions.
• You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at hi@aigely.com of any unauthorized use.
• Account owners can invite team members with defined roles (Owner, Admin, Member, and per-project Viewer). You are responsible for the actions of members you invite.

5. Free Aigely Scan

The free Aigely Scan is a limited, rate-limited lead-magnet feature provided without charge, currently limited to one domain scan per week without an account (subject to change without notice). Free scan results may be cached and, if you choose to share a scorecard link, made accessible to anyone with that link. We may modify, limit, or discontinue the free scan at any time. Attempts to circumvent rate limits (e.g. through automation, proxies, or repeated account creation) may result in blocking.

6. Subscriptions and pricing

Paid plans are sold on a subscription basis in US Dollars, as described on aigely.com/pricing, which may be updated from time to time.

• B2B only. Paid subscriptions are for businesses. Checkout requires a company name and a Tax ID (VAT number, EIN, or local equivalent). We do not offer self-serve consumer (B2C) purchases in the current version of the Service.
• Plan limits. Each plan includes a defined number of prompts, AI engines, and tracking frequency as published on the pricing page. Exceeding limits may require upgrading to a higher plan or purchasing an additional project.
• Extra projects. Additional projects beyond a plan's included project may be added at the discount published on the pricing page, subject to a maximum number of extra projects per account (as stated on the pricing page).
• Annual billing. Where offered, annual billing is charged upfront for the full year at the discounted rate shown at checkout and is non-refundable except as described in Section 9.
• Promotional and founding discounts. Discount codes are subject to the specific terms published when the code was issued (eligible plans, duration, and expiry), and cannot be combined with other discounts unless expressly stated.

7. Free trials

Where a free trial is offered (currently a 7-day trial on Starter, Shop, and Business plans; Agency does not include a self-serve trial), the following applies:

• A valid payment method is required to start a trial. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable plan price.
• Trials may include reduced limits (for example, fewer AI engines or a lower prompt cap) compared to the full paid plan, to manage the cost of running the Service. Any such limits will be indicated in the product at signup.
• We may limit trial eligibility to one trial per company, domain, or payment method, and may refuse or end a trial we reasonably believe is being used to circumvent these limits.

8. Billing, taxes, and price changes

• Subscriptions are billed automatically through Stripe on a recurring basis (monthly or annually, as selected) until cancelled.
• Prices are shown exclusive of any applicable taxes unless stated otherwise. As a B2B service, you are responsible for self-assessing and remitting VAT or equivalent tax due in your jurisdiction (e.g. under the reverse-charge mechanism in the EU/UK), unless we are legally required to collect it directly.
• We may change plan pricing or limits going forward. For existing subscribers, we will give at least 30 days' notice of a price increase before it applies to your next billing cycle; you may cancel before the new price takes effect.
• Failed payments may result in a service interruption after reasonable retry attempts and notice to the billing contact on file.

9. Cancellation, downgrades, and refunds

• You may cancel your subscription at any time through the Stripe Customer Portal (once enabled) or by emailing hi@aigely.com. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
• No prorated refunds are provided for unused time in a billing period, whether monthly or annual, except where required by applicable law or expressly agreed by us in writing.
• If a trial converts to a paid subscription and you did not intend it to, contact us within 7 days of the first paid charge; we will review requests case by case and may issue a refund at our discretion.
• You may downgrade or upgrade plans at any time; changes and any associated price adjustments take effect according to the billing terms shown at the time of the change.

10. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to scan domains you have no right to assess.
• Attempt to circumvent rate limits, plan limits, or access controls, including through automation, multiple accounts, or shared credentials beyond your licensed seats.
• Reverse-engineer, decompile, or attempt to extract the underlying prompts, models, or scoring logic of the Service, except to the extent such restriction is not permitted by law.
• Resell, sublicense, or provide access to the Service or its outputs as a competing service without our prior written consent.
• Interfere with or overload the Service's infrastructure.
• Submit content that infringes third-party rights or violates applicable law.

We may suspend or terminate access for violations of this section, with notice where reasonably practicable.

11. Your content and data

You retain all rights to the Content you submit (such as your store URL, catalog data, and custom prompts) and to your underlying business data. You grant Devikit a limited license to access, process, and store that Content solely to provide and improve the Service, including running prompts against AI Providers on your behalf. You represent that you have the necessary rights to submit any domain, catalog data, or other Content you provide.

12. Third-party AI providers and disclaimer

The Service reports on outputs generated by third-party AI Providers we do not control. AI answers are non-deterministic and can change between requests, over time, or as providers update their models. Accordingly:

• Mention rates, sentiment classifications, competitor data, and GEO recommendations are directional snapshots, not a guarantee of future visibility, ranking, referral traffic, or sales.
• We do not control, and are not responsible for, the accuracy, availability, or behavior of any AI Provider's underlying model or API.
• The Service does not constitute legal, financial, tax, or professional SEO advice, and GEO recommendations should be evaluated by you (or your developer) before implementation.

13. Intellectual property

Aigely's branding, software, website, and documentation are owned by Devikit LLC and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you in our intellectual property. Feedback you voluntarily provide about the Service may be used by us without restriction or obligation to you.

14. Warranty disclaimer

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Devikit disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that AI Provider outputs will be accurate or available at all times.

15. Limitation of liability

To the maximum extent permitted by law, Devikit LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Service - including outages or changes at any AI Provider, anti-bot blocks encountered when scanning third-party sites, or reliance on GEO recommendations. Devikit's total aggregate liability for any claim arising out of or relating to the Service will not exceed the fees you paid to Devikit for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You agree to indemnify and hold Devikit LLC harmless from claims, damages, and reasonable expenses (including legal fees) arising from your breach of these Terms, your Content, or your violation of any law or third-party right in connection with your use of the Service.

17. Term and termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access for breach of these Terms, non-payment, suspected fraud or abuse, or if required by law, with notice where reasonably practicable. Upon termination, your right to use the Service ends; we will retain or delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Sections 12 through 16 and 18) will survive.

18. General provisions

• Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles, without prejudice to any mandatory consumer or data protection rights you may have under the law of your country of residence.
• Changes to these Terms. We may update these Terms from time to time. For material changes, we will provide at least 15 days' notice (e.g. by email to account holders or a notice on the Service) before the changes take effect. Continued use after that date constitutes acceptance.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
• Force majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
• Entire agreement. These Terms, together with the Privacy Policy and the plan details on aigely.com/pricing, constitute the entire agreement between you and Devikit LLC regarding the Service.
